Terms and Conditions Overview and acceptance

These Website Terms & Conditions (“T&Cs”) govern your access to and use of the website located at www.prevetted.ai and my.prevetted.ai (the “Site”), including all software, data, reports, text, images, audio, video, and other content provided through any portion of the Site (collectively, the “Content”). The Content encompasses all such elements, whether as a whole or in their individual parts.

Prevetted AI reserves the right, in its sole discretion, to alter, amend, or update these T&Cs at any time. Any changes will be effective immediately upon posting to the Site. You are responsible for regularly reviewing the T&Cs. Continued use of the Site after changes have been posted constitutes your acceptance of the updated T&Cs.

Density Labs, LLC and its affiliates collectively Prevetted AI grants you access to the Site and Content, provided you comply with these Terms & Conditions (“T&Cs”). By using the Site, you agree to these T&Cs. If you represent an entity, you must have the authority to bind it to these T&Cs. If you lack such authority or disagree with the terms, you may not use the Site.

Access and Use Conditions

You are fully responsible for any data, information, or other content you upload, post, or store on the Site.

Prevetted AI and its licensors retain ownership of all intellectual property rights related to the Site and Content, including logos, trademarks, trade secrets, and patents. No rights or licenses are granted to you under these T&Cs, whether explicitly or by implication. All rights, titles, and interests in the Site and Content are exclusively held by Prevetted AI.  

You are permitted to access and use the Site and its Content solely for evaluating Prevetted AI’s products and services, provided you comply with these T&Cs. Any linking to the Site or Content is only allowed with explicit permission from Prevetted AI.

You may not sublicense, sell, lease, rent, assign, or otherwise commercially use the Site or Content. Additionally, using the Site or Content unlawfully, including in ways that violate data privacy or export control laws or compromise their integrity or functionality, is prohibited. You must not alter, hack, or attempt to gain unauthorized access to restricted areas of the Site, including circumventing security measures or accessing source code or confidential information. Copying, modifying, framing, reposting, publicly displaying, selling, reproducing, distributing, or creating derivative works from the Site or Content is also forbidden. Misrepresenting your identity, manipulating message headers, or using automated tools like “scrapers” or “crawlers” to access or extract data is strictly prohibited.

User Contributions

By posting User Contributions on the Site, you grant Prevetted AI a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, reproduce, distribute, display, publish, and perform such content in connection with the Site and its services. Prevetted AI has the right, but not the obligation, to monitor User Contributions and may remove or disable it at any time, with or without cause, at its sole discretion.

You acknowledge that the Site’s operation may involve the transmission of User Contributions in unencrypted formats to third-party vendors and hosting partners for the purpose of managing and maintaining the Site. As such, you are responsible for ensuring the security, protection, and backup of your User Content. Prevetted AI disclaims any liability for unauthorized access, use, alteration, loss, or deletion of User Content, including any data corruption that may occur during these transmissions.

If you choose to provide ideas, suggestions, or comments (“Suggestions”) regarding the Site or Prevetted AI’s services, you agree that such Suggestions are submitted voluntarily. Prevetted AI is free to use, reproduce, modify, and distribute this Suggestions without any obligation to compensate you, whether or not the Suggestions are implemented.

You further represent and warrant that your use of the Site and the User Contributions you post do not and will not infringe upon any third-party rights, including intellectual property rights, and that your content does not include any defamatory, obscene, unlawful, or otherwise harmful material. Prevetted AI reserves the right to terminate or restrict your access to the Site without notice if you violate these terms or for reasons such as law enforcement requests, changes to services, or technical issues, ensuring compliance with these conditions.

NO WARRANTIES

THE SITE, ITS CONTENT, AND ALL RELATED SERVER AND NETWORK COMPONENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT ANY WARRANTIES. PREVETTED AI DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AS WELL AS ANY ARISING FROM COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE. PREVETTED AI DOES NOT GUARANTEE THAT ACCESS TO OR USE OF THE SITE AND CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR VIRUS-FREE, NOR DOES IT GUARANTEE ANY SPECIFIC RESULTS FROM THEIR USE. ANY INFORMATION, ADVICE, OR SERVICES OBTAINED FROM PREVETTED AI THROUGH THE SITE OR VIA EMAIL DO NOT ESTABLISH ANY WARRANTIES UNLESS EXPLICITLY STATED IN THESE T&CS, AND RELIANCE SOLELY ON THE SITE AND CONTENT FOR BUSINESS DECISIONS IS NOT RECOMMENDED. PREVETTED AI RESERVES THE RIGHT, AT ANY TIME AND WITHOUT NOTICE, TO MODIFY, SUSPEND, OR TERMINATE THE OPERATION OF THE SITE OR ANY PART OF IT, ALTER OR CHANGE ANY ASPECT OF THE SITE, AND INTERRUPT ITS OPERATION AS NEEDED FOR ROUTINE OR NON-ROUTINE MAINTENANCE, ERROR CORRECTION, OR OTHER CHANGES.

UNDER NO CIRCUMSTANCES WILL PREVETTED AI BE RESPONSIBLE FOR LOST PROFITS OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY TYPE, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SITE, PLATFORM, MATCHING SERVICES, CONTENT, PROPRIETARY INFORMATION, OR ANY INTERRUPTION OR DISRUPTION OF SUCH USE, AS WELL AS DAMAGES FROM LOSS OF USE OF ANY SOFTWARE OR HARDWARE, COSTS FOR OBTAINING SUBSTITUTE PRODUCTS OR SERVICES, LOST DATA, LOST PROFITS OR REVENUE, OR ANY CLAIMS OR DEMANDS BY THIRD PARTIES, ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT, THE T&CS, OR ANY PERFORMANCE OR BREACH THEREOF, EVEN IF PREVETTED AI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

No Reliance; Due inquiry

You acknowledge and agree that, given the general and "as-is" nature of the Site and its Content, you are not relying on any specific statements or materials provided on the Site or within the Content for making any business decisions. Resource allocation and staffing needs are inherently complex and unique. If you decide to further explore whether Prevetted AI's services meet your needs, you have the opportunity to conduct additional inquiries with Prevetted AI and should perform an independent assessment of the suitability of using Prevetted AI for your specific business requirements. Only after conducting thorough due diligence, carefully reviewing Prevetted AI's service offerings, including the terms and conditions of its agreements, and thoroughly evaluating any freelancer proposed by Prevetted AI, should you reach any conclusions or make decisions regarding the suitability of Prevetted AI or any freelancer suggested for your particular project needs.

Governing Law

This Agreement is considered executed in Dallas, Texas, and is governed by Texas state laws. Each party irrevocably agrees to the jurisdiction and venue of courts in Dallas, Texas. Any disputes or claims will first be addressed through negotiation between the parties. If the dispute remains unresolved the parties may proceed with litigation in accordance with the terms of this Agreement. Each party will bear its own costs and expenses related to such disputes, and any awarded damages must comply with the limitations outlined in this Agreement. You waive your right to a jury trial for any claims or causes of action that arise from or relate to these T&Cs.

Notice Clause

Any notices, requests to Prevetted AI shall be in writing and are considered delivered when sent via registered U.S. mail or by a mutually recognized overnight delivery service to the address 17350 State Hwy 249, Ste 220 #20807, Houston, Texas 77064, US. A copy of such notice must also be sent via email to legal@prevetted.ai. Notices shall be effective upon receipt of the mail delivery.
